Terms of Service

Effective November 6, 2026

These terms are an agreement between you and Bayly LLC ("Bayly," "we," "us") for use of the Bayly website and service. If you use Bayly for a business, you agree to these terms for that business and confirm you have authority to do so. A signed order form or client agreement, if any, takes priority over these terms where they differ.

The service

Bayly provides software and setup services that help auto protection shops take online bookings and deposits, offer pay over time, follow up on quotes, send reminders and review requests, and run memberships. Features may change as we improve the service. Bayly runs on third party platforms, including our software platform provider, Stripe and phone carriers, and their availability affects ours.

Your account

Keep your login details private and tell us right away if you think someone has used your account without permission. You are responsible for activity on your account and for the accuracy of the information you give us, including services, prices and hours.

Plans and billing

  • The monthly plan is $497 a month, billed in advance. The annual plan is $4,970 a year, billed in advance.
  • There is no setup fee unless we agree otherwise in writing.
  • Plans renew automatically at the end of each billing period until canceled.
  • Prices exclude any taxes that apply. We may change prices with at least 30 days notice, effective at your next renewal.
  • If a payment fails, we may pause the service until it is paid.

Cancellation and refunds

You can cancel any time by emailing [email protected]. Cancellation takes effect at the end of the billing period you have already paid for, and the service stays active until then. Payments are not refunded for partial periods unless the law requires it or we agree in writing.

Payments from your customers

Payments from your customers, including deposits, memberships and pay over time options, go to your own Stripe account under your agreement with Stripe. Stripe and pay over time providers set their own fees and approval rules. Bayly is not a party to transactions between you and your customers and is not responsible for refunds, chargebacks or disputes between you and them.

Messaging and compliance

You are responsible for how you use Bayly to contact your customers. You agree to:

  • Text and email only people who have given the consent the law requires
  • Honor opt out requests such as STOP right away
  • Complete any carrier registration your number requires, with our help
  • Follow the laws that apply to you, including the Telephone Consumer Protection Act and CAN SPAM Act

We may pause messaging that we reasonably believe breaks the law or carrier rules.

Acceptable use

Don't use Bayly to send spam, mislead people, break the law, infringe others' rights, or interfere with the service or other customers. We may suspend accounts that do.

Your data

You own your business data and your customers' data. You give us permission to use it only to provide, support and improve the service, as described in our Privacy Policy. When you leave, you can ask for an export of your customer list within 30 days.

Our property

Bayly, its templates, messages, workflows and website are owned by Bayly or its licensors. You may use them only while you are a customer and only for your own shop.

No guaranteed results

Bayly is a tool. Any numbers we show, including the estimates on our website and in demos, are examples based on the figures you give us. We do not promise any level of bookings, revenue or results.

Disclaimers

The service is provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non infringement. We don't promise the service will be uninterrupted or error free.

Limit of liability

To the extent the law allows, Bayly will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the amount you paid us in the 3 months before the claim arose.

Indemnity

You agree to defend and hold Bayly harmless from claims arising from your messages to your customers, your services to your customers, or your breach of these terms.

Ending the service

We may suspend or end your account if you break these terms or don't pay. Sections that by their nature should survive, such as payment owed, data, disclaimers and limits of liability, survive after the account ends.

Law and disputes

These terms are governed by the laws of the State of Wyoming. Before filing any claim, both sides agree to try to resolve it informally by email for 30 days.

Changes

We may update these terms. We will change the effective date above and, for significant changes, notify customers at least 14 days before they take effect.
